Terms of Service

These Terms of Service (“Terms”) govern your use of the On Charge platform (“Service”), operated by CANSOLVE DIGITAL Inc., a Canadian corporation based in Hamilton, Ontario. By accessing or using our Service, you agree to be legally bound by these Terms and our [Privacy Policy]. If you disagree with these Terms, please do not use the Service.

1. Definitions

“We,” “Us,” “Our” Refers to CANSOLVE DIGITAL Inc.
“You,” “User,” “Client” Refers to any individual or organization accessing or using our Service.
“Service” or “Platform”Refers to On Charge’s software, website, mobile interface, and associated tools.
“Data” Refers to any content or information uploaded by Users, including invoices, Professional Allowance (PA) records, supplier data, and account information.

2. Eligibility

By accessing the Service, you affirm that you:

Are at least 18 years old, or the age of majority in your jurisdiction.
Have the legal authority to accept these Terms on behalf of your pharmacy, business, or organization.
Will comply with all relevant laws, including those regarding privacy, data protection, and export regulations.

3. Account Registration & Acceptable Use

A. Account Registration:
You agree to:

Provide accurate, complete, and updated account information.
Maintain the confidentiality of your login credentials and accept responsibility for all account activities.
Notify us immediately if you suspect unauthorized access or security breaches.

B. Acceptable Use:

You agree not to:

Use the Service for any unlawful, fraudulent, or harmful activities.
Upload content infringing upon intellectual property rights or privacy of others.
Reverse-engineer, probe, or attempt unauthorized access to the platform.
Resell, sublicense, or share access to the platform without prior written consent.
Misrepresent your identity or affiliations.

4. Subscriptions, Billing & Cancellations

A. Plans & Pricing: Subscription plans and pricing details are available at [oncharge.ai/pricing]. We reserve the right to update pricing with prior notice.

B. Free Trial:We provide a 30-day free trial with full feature access. No credit card is required.

C. Payments:

Subscriptions automatically renew monthly or annually, as applicable.
By subscribing, you authorize recurring billing to your provided payment method.

D. Failed Payments:

If payment fails, you have 7 days to resolve the issue.
After 30 days of non-payment, your account may be suspended or restricted.

E. Cancellations & Refunds:

You may cancel your subscription anytime before your next billing cycle to avoid future charges.
Refunds are provided solely at our discretion or as mandated by applicable laws.
We will provide a minimum of 14 days' notice before making any material pricing changes.

5. Data Ownership & User Rights

You retain complete ownership of all data you upload to our platform.
By uploading data, you grant us a limited, non-exclusive license to process and analyze your data solely for providing and improving our Service.
You are responsible for ensuring your uploaded data is accurate, legal, and non- infringing.

6. Privacy & Security

Your privacy and data security are paramount. Service usage is governed by our [Privacy Policy].

We implement rigorous security measures, including:

AES-256 encryption (data at rest).
SSL/TLS encryption (data in transit).
Full compliance with:
- PIPEDA (Personal Information Protection and Electronic Documents Act).
- GDPR (General Data Protection Regulation).
- PCI-DSS (Payment Card Industry Data Security Standard).

You agree to promptly inform us of any suspected security breaches or unauthorized account access.

7. Intellectual Property

All software, content, trademarks, and design elements within the Service are exclusively owned by CANSOLVE DIGITAL Inc. or our licensors.
Your access to the Service is provided under a limited, non-transferable, and non-sublicensable license.
You agree not to copy, modify, distribute, reverse-engineer, or commercially exploit any part of the platform without explicit written permission.

8. Suspension & Termination

We reserve the right to suspend or terminate your account if:

You breach these Terms.
Your payments repeatedly fail.
Your use presents legal, reputational, or security risks to us.

Upon termination:

You retain access to your data for 30 days.
After 30 days, your data may be permanently deleted unless legally required otherwise.
System logs and anonymized usage data may be retained for security and audit purposes.

9. Disclaimers & Limitation of Liability

The Service is provided “as-is” and “as-available” without any warranty of uninterrupted or error-free operation.
We do not guarantee compatibility with all user systems.
Our maximum liability for any claim arising from your use of the Service shall not exceed the total amount you have paid us within the 12-month period preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless CANSOLVE DIGITAL Inc., including our affiliates, directors, employees, and partners, against all claims, liabilities, damages, and expenses resulting from:

Your misuse of the Service.
Data or content uploaded by you.
Your violation of these Terms or any applicable laws or regulations.

11. Updates to These Terms

We may periodically update these Terms. For material changes, we will notify you at least 30 daysin advance via email or an in-app notice. Your continued use after such changes implies acceptance of the revised Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of Ontario, Canada.

Disputes under CAD $5,000 may be settled in Ontario Small Claims Court.
Other disputes shall be resolved through binding arbitration in Ontario under the Arbitration Act, 1991 (Ontario).

Regardless of your location, you consent to the exclusive jurisdiction of Ontario courts.
